Oak Hills Soccer Club Bylaws

Revised 6/2005, Annual General Meeting


Article 1: Name


The name of this non-profit organization will be “Oak Hills Soccer Club”, hereinafter referred to as OHSC. OHSC shall and will be affiliated with the Tualatin Hills Parks and Recreations District (THPRD), the Tualatin Hills Junior Soccer League (THJSL) and the Oregon Youth Soccer Association (OYSA).


Article 2: Purpose


The purpose of OHSC shall be to teach, govern, and promote the game of soccer at all levels within the community; to develop good sportsmanship, courtesy, and respect for authority.  OHSC will not discriminate against any individual on the basis of race, color, religion, age, sex, national origin, disability or sexual orientation.


Article 3: Membership


OHSC members shall include the youth players, parents or guardians of youth players, coaches, officers, and general board members who come under the OHSC’s jurisdiction.  There shall be two classes of membership:  youth players and adult members eligible to vote.  Membership is considered to be active if your child participated in the program during the past year.  A youth player must live within the boundaries of THPRD or the Oak Hills Soccer Club District, play with the OHSC, be registered with the OHSC, and pay the required fees.  Only adult members, over 18 years of age, shall vote at meetings of the members.


Article 4: Officers


The Executive Board shall consist of six elected officers including President, Vice President, Secretary, Registrar, and Head Coach.  All Officers shall have one vote.  The President shall vote only in the case of a tie.  Each term of office begins and ends with successive Annual General Meetings.  The responsibility and duties of each Officer include the following:

  • President: The President shall be the Chief Executive Officer of the OHSC and shall, subject to control of the Board, have general supervision, direction, and control of the business and affairs of the OHSC.  The President shall be the presiding and general representative of the OHSC.  Pursuant to the office, the President shall meet with the Executive Board at least 9 times per year and with the general membership at least once a year.  The President will establish with the Executive Board a program and calendar and appoint persons and/or committees to organize and implement specific tasks.  The President will oversee all areas of operation.  The President shall represent the OHSC at all other meetings, or appoint another Board Member to attend.  Special Officers, managers, and coordinators shall be appointed by the President, once approved by the Executive Board.  All contracts will be approved by the President.  Any disputes or investigations will be forwarded to the President for action.
  • Vice President: The Vice President shall assume the President’s duties in their absence and otherwise assist the President as required.  He/she shall represent the OHSC at the THJSL Board Meetings.  
  • Secretary: The duties of the Secretary are to keep accurate minutes of all Executive Board Meetings and handle all correspondence.  The Secretary shall assist the President by preparing the agenda and informing all officers and general board members of upcoming Executive Board meetings at least 4 calendar days in advance.  He/she will work with the Registrar to develop a mailing list of all voting members.  The Secretary will coordinate the distribution of newsletters to the voting members and notification of the Annual General Meeting.
  • Treasurer: The Treasurer shall be responsible for all OHSC funds, i.e. receive and disburse payment for accounts payable.  The Treasurer will collect and deposit registration fees, contributions, and miscellaneous income.   The Treasurer will work closely with the Registrar to assure registrations are paid and current.  All checks must be signed by the Treasurer and cosigned for amounts over $500 by either the President or Vice President.  Monthly budget status reports of receipts and disbursements will be provided during the Board meetings.  The Treasurer shall present an annual accounting of receipts and disbursements of the OHSC during the Annual General Meeting.
  • Registrar: The Registrar shall collect registration forms and inspect them to make sure the information provided is complete.  The Registrar shall prepare lists of all eligible players of each age group.  The Registrar will work with the Head Coach to make final team selections.  The Registrar will compile the team rosters for the state registrar.  The Registrar shall be responsible for registering all players, coaches, and teams with OYSA.  The Registrar has the authority to interact with THPRD, THJSL, and OYSA to conduct OHSC business as it relates to the registration of OHSC soccer players.
  • Head Coach: The Head Coach shall coordinate at least one coach’s clinic including demonstration techniques for coaching young soccer players and one general coaches meeting.  The Head Coach will develop a pre-season roster of coaches and assistant coaches and will help in recruiting new coaches and assistants as needed.  The Head coach shall act as primary consultant for technical questions from coaches and parents.  The Head Coach shall work with the Registrar to draft the teams for the season.

The officers shall be selected at the Annual General Meeting by a majority vote of the attending voting membership.  No person may be elected to the same elected OHSC office for more than four (4) consecutive terms.  Vacancies occurring subsequent to elections shall be filled by a majority vote of the Board.

To remove an existing officer will require a two-thirds affirmative vote of the Executive Board.  If an elected officer is to be removed, a special Executive Board Meeting will be called for the purpose of removing that officer prior to the expiration of his or her term.  Upon the two-third affirmative vote of the Executive Board members present at this meeting, the office shall be considered vacant and it shall be filled in accordance with the OHSC Bylaws.


Article 5: General Board Members


General Board Members report to the Executive Board and assist the officers with the OHSC business.  The need for general board members are identified by the Board and appointed by the President.  General board member positions may include equipment manager, picture coordinator, uniforms coordinator, camp coordinator, referee coordinator, Kick and Chase (K&C) Coordinator, and the K&C referee coordinator.  Although general board members may participate in Executive Board Meetings, they do not vote on issues brought forward for action by the officers.  General board members can participate and vote in the Annual General Board Meeting.


Article 6: Fiscal Obligations and Indemnification


The Executive Board controls all fiscal matters and its actions are subject to review by the OHSC membership.  The fiscal year will be the calendar year.  Registration fees are set annually by the Executive Board, at a level consistent with an annual budget of expenditures and income, as well as other policies adopted by the Board.

The assets of this organization will never inure to the benefit of any member of the OHSC, nor will any assets or properties be used for the personal benefit of any member or any other person except in pursuit of the objectives stated in these Bylaws.

The Executive Board shall neither assume nor be liable for debts and/or financial responsibilities, either implied or incurred of any player, coach, manager, team assistant, referee or other organization.

Officers, general board members, committee members, or volunteers of the OHSC shall not be liable for acts, defaults, neglects of any other officer, general board member, committee member or volunteer of the OHSC, or losses sustained by the OHSC unless the same has resulted from their own willful misconduct, willful neglect, or willful negligence.

OHSC shall pay on behalf of officers, general board members, committee members and volunteers against all reasonable costs, expenses and liabilities, actually and necessarily incurred by or imposed upon them in connection with or resulting from any claim, action, suit, proceeding, investigation, or inquiry of whatever nature in which they may be involved as a party or otherwise by reason of their being or having been officers, general board members, committee members, or volunteers of the OHSC at the time of the incurring or imposition of such cost, expenses, or liabilities except in relation to matters at to which they shall be finally adjudged in such action, suit, proceeding, investigation, or inquiry to be liable for willful misconduct or willful neglect toward the OHSC in the performance of their duties as officers, general board members, committee members, or volunteers of the OHSC.  In the absence of such final adjudication of the existence of such liability, the Executive Board and each representative may conclusively rely upon an opinion of legal counsel as to whether or not the officers, general board members, committee members or volunteers of the OHSC are liable by reasons of willful misconduct or willful neglect toward the OHSC of their duties.  Such legal opinion shall be preceded by an open hearing held in accordance with the principles of due process, selected by or in the manner designated by the Executive Board.  The foregoing right to indemnification shall be in addition to and not in limitation of all other rights to which such person may be entitled as a matter of law and shall inure to the benefit of legal representation of such person.


Article 7: Meetings


The President of the OHSC shall service as chairman at all meetings.  Executive Board meetings shall be held at least nine times per year.  These meetings shall be open to the public and the membership is encouraged to attend these board meetings.  Special Executive Board meetings can be called by the President, or upon request of one (1) officer.  A quorum is established if at least 3 officers are present.  The officers and general board members will be notified of all Executive Board meetings by the Secretary at least 4 calendar days prior to the meeting.

The Annual General Meeting shall be held during the month of November or December each year.  Special general meetings of the OHSC may be called by the President or upon written request of at least 10 percent of the voting members.  Written notification of the Annual General Meeting or special general meetings shall be mailed to the voting membership at least fourteen (14) days prior to the meeting date.


Article 8: Bylaws Changes and Amendments


A copy of the Bylaws, changes and amendments shall be made available to all OHSC members upon request.  A proposed change or amendment to the Bylaws must be submitted in writing to the Secretary.  Changes or amendments to these bylaws may be approved at the Annual General Meeting or a special general meeting of the members, upon majority vote of the voting members present.  Any case in which these Bylaws are in conflict with the bylaws of the THJSL or OYSA, the Bylaws of THJSL or OYSA shall take precedent until the conflict is resolved by the Executive Board.


Article 9: Dissolution


In the event of dissolution of the OHSC, all assets and property remaining after meeting the obligations of the OHSC will be donated to the Tualatin Hills Junior Soccer League (THJSL) or its successor to foster and continue youth soccer in the community.
